Due diligence is the necessary verification of information and documentation for the purpose of forming a sound basis for a business transaction, strategy or decision. It is performed in many contexts, including when buying a business. The potential buyer reviews the financial performance of the target business, as well as its management, workforce, relationships, legal obligations and important documents. The prospective buyer seeks to test his or her opinion of the business, to better determine whether he or she is making a sound business decision.
If thorough due diligence is not performed, a buyer may find that he or she has purchased something different from what was presented, or has undertaken unforeseen obligations, problems or liabilities.
